Services: The professional financial and business outsourcing services provided by Armor Consultancy, as outlined in service agreements.

Agreement: A formal contract or service order that specifies the scope of work, obligations, payment terms, and conditions between Armor Consultancy and the Client.

Confidential Information: Any proprietary, financial, or sensitive data exchanged between Armor Consultancy and the Client, which must be protected from unauthorized disclosure.

4.Service Engagement

4.1 Agreement

All services provided by Armor Consultancy require a signed service agreement that outlines the scope of work, duration, pricing, and responsibilities of both parties. The agreement becomes effective once both parties sign and initial payments, if applicable, are made. Any modifications or additional services require a written amendment approved by both parties.

4.2 Confidentiality

We prioritize data security and confidentiality. Armor Consultancy and its employees adhere to strict confidentiality protocols to protect client information. Clients must also uphold confidentiality agreements and ensure that any shared business information remains secure. Data disclosure without written consent is strictly prohibited, except where legally required.

5.Payment Terms

5.1 Fee Structure

Service fees are determined based on complexity, duration, and workload. Clients receive a transparent breakdown of costs before service commencement. Additional fees may apply for urgent requests, extended scope, or specialized services.

5.2 Payment Methods

Payments can be made via bank transfer, credit card, mobile payment platforms, or other agreed methods. Timely payments are essential to avoid service disruptions.

5.3 Invoicing

Invoices are issued as per the agreed billing cycle (monthly, quarterly, or annually). Late payments may incur penalties or interest charges as stipulated in the agreement.

5.4 Refund Policy

Payments for completed services are non-refundable. Partial refunds may be considered under special circumstances, subject to mutual agreement and documented justification.

6.Client Responsibilities

Clients must provide complete and accurate financial records, ensure compliance with legal regulations, and respond promptly to information requests. Maintaining clear communication regarding business changes that affect financial reporting is crucial.

7. Liability and Indemnification

Armor Consultancy shall not be liable for financial losses resulting from inaccurate or incomplete data provided by clients. Clients agree to indemnify Armor BPO against claims or damages arising from misrepresentation or misuse of financial reports. Our liability, in any case, shall be limited to the amount paid for the disputed service.

8.Termination

8.1 Termination by Armor Consultancy

We reserve the right to terminate services due to non-payment, fraudulent activities, breach of confidentiality, or non-cooperation by the client.

8.2 Termination by the Client

Clients may terminate the agreement by providing a 30-day written notice. Outstanding invoices must be cleared before termination takes effect.

9. Force Majeure

Neither party is liable for service delays or failures caused by events beyond reasonable control, including natural disasters, government restrictions, and economic disruptions.

10.Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Bangladesh. Any disputes shall be resolved through mutual negotiation or arbitration.

11.Amendments

Armor Consultancy reserves the right to update these terms. Clients will be notified of significant changes, and continued service usage implies acceptance.
